Service Agreement Template

This Service Agreement ("Agreement") is entered into by and between [Service Provider Name], with its principal place of business at [Address] ("Service Provider"), and [Client Name], with its principal place of business at [Address] ("Client"), collectively referred to as the "Parties."

1. Services

1.1 Scope of Services. Service Provider agrees to provide the following services to the Client (the "Services"):

1.2 Service Standards. Service Provider agrees to perform the Services with the highest standard of professionalism and in accordance with any applicable industry standards.

2. Term and Termination

2.2 Termination. Either Party may terminate this Agreement by giving written notice to the other Party at least [Number of Days prior notice] days prior to the desired termination date.

3. Payment

4. Confidentiality

4.2 Exceptions. The provisions of Section 4.1 shall not apply to information that: (a) is or becomes publicly available without breach of this Agreement; (b) is rightfully received by the receiving Party from a third party without a duty of confidentiality; (c) was known to the receiving Party prior to its disclosure by the disclosing Party; or (d) is independently developed by the receiving Party without reference to the disclosing Party"s confidential information.

5. Limitation of Liability

5.1 Exclusion of Damages. In no event shall either Party be liable to the other Party for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

6. Governing Law and Dispute Resolution

6.1 Governing Law. This Agreement shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.

6.2 Dispute Resolution. Any dispute arising out of or relating to this Agreement shall be resolved through good-faith negotiations between the Parties. If the dispute cannot be resolved amicably, either Party may initiate legal action.

7. Entire Agreement

7.1 Entire Agreement. This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, or representations.
