This Timber Sale Contract (the "Contract") is made and entered into on the Effective Date above by and between the Seller and the Purchaser, collectively referred to as the "Parties".

1. Sale and Purchase

The Seller agrees to sell and the Purchaser agrees to buy all live standing timber designated for cutting, as well as all dead or down timber marked within an approximate area of _____ acres, located in Section ________, Township _______, Range _______, ___________ County, Illinois, and recorded under the ownership of _______________, for a total sum of __________ dollars ($).

2. Conditions of Marking and Disposal

3. Cutting and Removal

The Purchaser agrees to cut and remove all the timber subject to this Contract in strict compliance with applicable laws, regulations, and the specific conditions outlined in Exhibit B, which forms an integral part of this Contract.

4. Payment Terms

Payment shall be made by the Purchaser to the Seller in full upon execution of this Contract or according to the payment schedule described in Exhibit C.

5. Governing Law and Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the State of Illinois. Any disputes arising out of or related to this Contract shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

6. Entire Agreement

This Contract constitutes the entire agreement between the Parties and supersedes all prior negotiations, understandings, and agreements between them concerning the subject matter hereof.

RECITALS AND AGREEMENTS:

Warranties and Representations: Each party represents and warrants that they have full authority to enter into this agreement, and that their performance hereunder will not violate any existing agreements or obligations.

Governing Law and Dispute Resolution: This contract shall be governed by and construed in accordance with the laws of the State of Illinois. Any disputes arising out of or related to this Contract shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

Force Majeure: Neither party shall be liable for any delay or failure to perform its obligations under this Contract due to events beyond its reasonable control (force majeure), provided such party promptly notifies the other party of the occurrence and nature of the event.
